Business Terms of Use

1.About Reiye and Acceptance of These Terms

Reiye (the "Platform") is a beauty discovery and review platform that helps users discover, review and connect with beauty and wellness professionals. The Platform is owned and operated by Oraye Ltd, a company registered in England and Wales with company number 17382350, whose registered office is at 66 Paul Street, London, England, United Kingdom, EC2A 4NA ("Reiye", "we", "us" or "our").

Reiye does not itself provide beauty treatments, products or services. Beauty professionals and businesses listed on the Platform are independent of Reiye.

These Terms of Use (these "Terms") govern your access to and use of the Reiye website, Platform and any related services we make available from time to time. By accessing or using the Platform, creating a business account, or creating or managing a business profile, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

These Terms form a legally binding agreement between you and Oraye Ltd. By using the Platform you confirm that you have read and accepted these Terms together with our Privacy Policy and, where relevant, our Review Policy and Cookie Policy, each of which is incorporated into these Terms by reference.

2.Eligibility

To use the Platform you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Platform you represent and warrant that you meet these requirements.

Reiye may verify your identity, email address and other details, and may refuse, suspend or close an account where information is inaccurate or where these Terms are breached.

3.Business Accounts and Account Security

You must provide accurate, current and complete information when creating an account and keep that information up to date. You are responsible for maintaining the security and confidentiality of your account and for all activity that occurs under your account.

Each email address may be linked to only one Reiye account type. To hold both a Customer account and a Business account you must use a separate email address for each. You may not create an account using another person’s identity or information.

Reiye may verify your identity, email address and other details, and may refuse, suspend or close an account where information is inaccurate or where these Terms are breached.

4.Authority to Represent a Business

Business profiles are created by beauty professionals or their authorised representatives. By creating a business profile you represent that you have the right and authority to list that business and that the information you provide is accurate.

5.Business Information

You are responsible for keeping your business profile information reasonably accurate and current, including business name, services, location, contact details, booking links and portfolio content. You must not knowingly publish materially false or misleading information. Reiye may request changes, hide content, restrict content, remove content, restrict profiles or remove profiles where necessary to enforce these Terms, the Review Policy, applicable law, safety or Platform integrity.

Reiye accepts sole traders, self-employed professionals, partnerships, limited companies and other legitimate business structures. You are not required to be incorporated or registered with Companies House to use the Platform. Where you operate as a limited company and choose to provide a Company Registration Number, this is provided for information only and does not by itself confer Reiye Verified status or any guarantee, endorsement, verification or assurance of quality, trust, competence or professional qualification.

6.User Content and Intellectual Property

The Platform allows users to submit reviews, ratings, photos and other content ("User Content"). You are solely responsible for the User Content you submit and for ensuring it complies with these Terms and our Review Policy.

You grant Reiye a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to use, reproduce, publish, display, modify, adapt and distribute your User Content on and through the Platform and related services, for the purposes of operating, promoting and improving the Platform. You represent that you hold all necessary rights and permissions to submit your User Content and that it does not infringe the rights of any third party.

Reiye may moderate, edit, hide, remove or otherwise manage User Content at any time where it breaches these Terms, the Review Policy or applicable law, or where otherwise reasonably required. Reiye has no obligation to monitor User Content but may do so.

The Platform, including its design, features, branding, software and content (excluding User Content), is owned by or licensed to Reiye and is protected by intellectual property laws. These Terms do not grant you any right, title or interest in the Platform or our intellectual property except for the limited right to use the Platform in accordance with these Terms.

You retain ownership of your User Content, but you grant Reiye the licence described in the Reviews and User Content section. You must not use the Platform in a way that infringes the intellectual property or other rights of any person.

Reiye reserves all rights not expressly granted in these Terms.

7.Creating and Managing a Reiye Business Profile

Business profiles are created and managed through the Platform by beauty professionals or their authorised representatives. You are responsible for keeping your business profile information reasonably accurate and current, including business name, services, location, contact details, booking links and portfolio content.

You may edit your business profile information through the Platform. Reiye may review edits and may request changes where information is incomplete, inaccurate or does not meet our standards.

8.Business Approval

Business profiles are subject to Reiye’s review and approval process. Reiye may approve, reject, request changes to, edit, hide or remove a business profile at any time where it does not meet our standards or these Terms.

9.Reiye Verified

For the current Platform, a beauty professional becomes "Reiye Verified" when their BusinessProfile has been reviewed by Reiye and approved as an active BusinessProfile. There is currently no separate approval status distinct from Reiye Verified. An approved and active BusinessProfile is what appears publicly in the Reiye directory and can receive customer reviews.

Before granting Reiye Verified status, Reiye performs a manual reasonableness review of the information submitted by the business. This may include checking the business owner’s name, social media links, portfolio and profile content, and other business information supplied, to assess whether the information appears reasonably genuine and consistent. Reiye Verified means only that Reiye has performed this current BusinessProfile review and has approved the profile to operate publicly on the Platform.

Reiye Verified status is not identity verification equivalent to a regulated KYC check. Reiye does not currently perform criminal-record checks, qualification verification, insurance verification, licence verification, or professional competency assessment as part of this process. Reiye Verified is not a guarantee of legitimacy, quality or safety.

Reiye Verified status does not constitute a guarantee, warranty or endorsement of a business, its services, or the safety, quality, competence, qualifications, insurance, licensing, service outcomes or customer satisfaction of any service. Providing a Company Registration Number or any other information does not by itself confer Reiye Verified status. Reiye Verified does not imply that Reiye personally endorses the beauty professional. Customers remain responsible for making their own decision about whether to use a beauty professional.

Reiye Verified status is tied to the BusinessProfile remaining approved and active. The status may cease where, for example, the business permanently closes, the business owner deletes their business account, Reiye discovers materially false or misleading business information, or the BusinessProfile is removed or deactivated in accordance with these Terms. Reiye does not currently operate an automatic scoring system, periodic renewal, minimum review count, rating threshold, or complaint-free period for Reiye Verified status.

10.Founding Professional

Reiye may designate certain eligible beauty professionals as "Founding Professionals" to recognise their early participation on the Platform. A Founding Professional designation recognises that the professional formed part of Reiye’s initial cohort of beauty professionals.

The designation does not constitute Reiye Verified status, an endorsement or recommendation by Reiye, or a guarantee of service quality, competence, qualifications, safety or customer satisfaction. Reiye Verified and Founding Professional are separate statuses.

Founding Professionals are not Reiye partners, employees, agents, shareholders or representatives. Nothing about the designation creates any employment, agency, partnership or representative relationship between the professional and Reiye.

11.Customer Reviews

Customer reviews and ratings may appear on your business profile. Reviews are User Content and are governed by these Terms and our Review Policy, which is incorporated into these Terms by reference. Reiye determines how reviews are presented, subject to applicable law and Reiye policies. Reviews may be moderated, restricted, hidden or removed where supported by Reiye’s actual moderation functionality and policies. Businesses cannot directly delete a customer review merely because they disagree with it.

12.Fake Reviews and Review Manipulation

Beauty professionals and businesses must not create, buy, commission or otherwise arrange fake reviews for themselves or for competitors, and must not offer incentives in exchange for positive reviews or for the removal of negative reviews. Without limitation, businesses must not:

• Create fake reviews
• Buy or commission fake reviews
• Arrange reviews from people who did not have a genuine experience
• Coordinate artificial review activity
• Manipulate star ratings
• Use multiple accounts to manipulate ratings
• Improperly pressure customers to remove genuine reviews
• Improperly pressure customers to change genuine reviews

Reviews must not be submitted in exchange for money, payment, discounts, gifts, free services, competition entries or other benefits offered in return for leaving a review. Businesses must not purchase, commission or improperly incentivise reviews. Disclosing an incentive does not make an incentivised review permissible.

Reiye may take proportionate enforcement action where fake or manipulated review activity is identified. Further detail is set out in our Review Policy.

13.Responding to Reviews

A beauty professional may post an official public Business Response to a review appearing on their business profile where the functionality is available.

Currently:

• A business may publish one official Business Response per review
• The response appears publicly beneath the customer review
• The business may edit its response
• The business may delete its response
• Deleting the Business Response does not delete the customer review
• Responding does not alter the customer’s star rating
• Responding does not automatically initiate a dispute
• Reporting a review is separate from responding
• Threaded customer/business conversations are not currently provided through Business Responses

Business Responses must be professional, relevant and based on the business’s genuine account of events. Business Responses must not contain threats, harassment, abusive language, unlawful discriminatory content, knowingly false statements, personal attacks, private customer information that should not be publicly disclosed, attempts to intimidate reviewers, attempts to improperly pressure a reviewer into removing or changing a review, spam or unrelated promotional material.

Reiye may moderate, restrict or remove Business Responses that breach these Terms, the Review Policy or applicable law. Merely disagreeing with a review does not constitute a violation.

14.Reporting Reviews

Users and business owners may report reviews or other content that they reasonably believe breaches these Terms or the Review Policy. Reports should identify the content and the reason for the report.

Examples of content that may be reported include suspected fake reviews, reviews unrelated to a genuine experience, spam, threats, harassment, abusive content, prohibited private information, or other content prohibited by the Review Policy.

A review will not be removed merely because it is negative, because a business disagrees with it, because the customer expresses dissatisfaction, or because the business has a different account of events. Reporting a review does not guarantee that it will be removed.

Reiye may consider available information and take moderation action under its Review Policy. Reiye does not legally determine which party is telling the truth, provide legal adjudication, act as a court, or make legally binding findings concerning the underlying service dispute.

The reporting system must not be misused. Misuse includes reporting content merely because it is negative, making repeated reports without new information, selecting inaccurate report reasons, or coordinating mass reports. Reiye may restrict reporting access where it is abused.

15.Platform Notifications

Reiye may provide in-app notifications relating to a business profile or business account where that functionality is available. Notifications may include new customer reviews, business profile approval, requests for profile changes and other Platform updates.

Businesses are responsible for checking their account and maintaining current relevant account information. Reiye does not guarantee instant delivery of every notification or that every notification will remain available indefinitely. Where the law requires a formal notice through a particular method, an ordinary in-app notification does not replace that formal notice.

Reiye may notify a business through the Platform when a new customer review is submitted. Receiving a notification does not give the business ownership of the review, allow the business to delete the review, automatically open a dispute, or guarantee that the review will remain permanently visible. Businesses may use available functionality to view the review, respond, or report the review where appropriate.

16.External Booking Links

Booking links on the Platform may direct users to external websites or third-party booking providers. Where this happens, the booking and any resulting service contract is between the user and the relevant booking provider, and not with Reiye. Reiye does not process, administer, fulfil or guarantee any booking or service.

The Platform may contain links to, or integrations with, third-party websites, booking providers, social media platforms and other services. These are provided for convenience and information only.

Reiye does not control and is not responsible for third-party websites or services, including their content, accuracy, availability, security, products, services or practices. Your use of third-party websites and services is at your own risk and is subject to the terms and policies of those third parties.

Reiye is not responsible for any loss or damage arising from your use of, or reliance on, any third-party website or service.

17.Relationship Between Reiye and Professionals

Beauty professionals and businesses listed on the Platform are independent businesses and service providers, and are not employees, agents, partners or representatives of Reiye. Nothing in these Terms creates any employment, agency, partnership or representative relationship between you and Reiye unless a separate written agreement specifically provides otherwise. Reiye does not normally employ professionals, provide their services, determine their prices, determine their working hours, or supervise the delivery of their beauty services.

You are solely responsible for the services you provide, your conduct, and your compliance with applicable laws and regulations. Reiye does not itself provide beauty treatments, products or services, and does not itself employ, engage or contract with the beauty professionals listed on the Platform.

18.Responsibility for Beauty Services

Reiye does not provide medical or professional advice. Information on the Platform is for general informational purposes only and is not a substitute for professional advice.

19.Prices, Deposits, Cancellations and Refunds

Reiye is currently free to use and does not process beauty-service payments. Reiye does not currently charge businesses subscriptions. Prices, deposits, cancellations and refunds for beauty services are determined between the business and its customers, and are not processed or controlled by Reiye.

Reiye does not issue full or partial refunds, reverse charges, compel providers to issue refunds, or determine customer compensation. A customer or provider dispute may be reported to Reiye where it relates to Platform activity. Reiye may receive reports, request information, investigate possible policy breaches and take Platform moderation or enforcement action, but Reiye is not a court or legal tribunal.

20.Prohibited Business Conduct

You must not use the Platform to do anything unlawful, fraudulent, harmful, misleading or otherwise contrary to these Terms. Without limitation, you must not:

• Use the Platform for any unlawful, fraudulent or deceptive purpose
• Harass, abuse, threaten, intimidate or defame any person
• Engage in coordinated harassment or target another user, a professional or Reiye staff
• Post hate speech, discriminatory or sexually explicit content, or content that encourages violence
• Impersonate another person or misrepresent your affiliation with a person or business
• Infringe the intellectual property, privacy or other rights of any person
• Collect, scrape or harvest data from the Platform without our permission
• Introduce viruses, malware or any other harmful code, or interfere with the security or operation of the Platform
• Attempt to gain unauthorised access to the Platform, other accounts or systems
• Circumvent or disable any security, access or usage controls
• Use the Platform to send unsolicited communications or advertising

You must comply with all applicable laws and regulations when using the Platform.

Reiye may take proportionate action depending on the severity, frequency, previous violations, safety, suspected fraud, illegal activity, Platform integrity and applicable law. Possible actions may include warnings, content removal, temporary restrictions, suspension or account removal. Serious cases may justify immediate action.

21.Suspension, Removal and Termination

Reiye may suspend, restrict or terminate your access to the Platform, or close your account, where you breach these Terms, where required by law, or to protect the Platform or other users. Reiye may take proportionate action considering the seriousness, frequency, previous conduct, user safety, suspected fraud, illegal activity, Platform integrity, cooperation with investigations and applicable law. Possible actions may include warnings, content removal, profile changes, restrictions, suspension or permanent removal. Where legally and operationally appropriate, Reiye may provide notice and/or an opportunity to respond. Serious cases may justify immediate action.

You may close your account at any time through your account settings or by contacting us. Closing your account does not automatically remove User Content that has already been published, and Reiye may retain records as described in the Privacy Policy and Review Policy.

Provisions of these Terms that by their nature should survive termination will continue to apply, including those relating to intellectual property, limitation of liability, governing law and contact.

22.Privacy and Personal Data

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, share and protect personal data in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.

The Privacy Policy is incorporated into these Terms by reference. You should read the Privacy Policy to understand how your personal data is handled. Detailed personal-data retention provisions are set out in the Privacy Policy.

23.Platform Availability

The Platform is provided on an "as is" and "as available" basis. While we aim to keep the Platform available and reliable, we do not guarantee that it will be uninterrupted, error-free, secure or available at all times.

We may suspend, restrict, update, change or discontinue the Platform, or any part of it, at any time, including for maintenance, security, legal or operational reasons. We may also add, change or remove features.

We are not liable for any unavailability, delay or interruption of the Platform.

24.Limitation of Liability

To the maximum extent permitted by law, Reiye excludes all conditions, warranties, representations and terms that are not expressly set out in these Terms, and excludes liability for any loss or damage arising from your use of, or inability to use, the Platform, except where such exclusion is not permitted by law.

To the maximum extent permitted by law, Reiye will not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with these Terms or your use of the Platform.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

25.Changes to These Terms

Reiye may update or change these Terms from time to time. Where we make material changes, we will take reasonable steps to communicate them, for example by updating the "Last updated" date or through the Platform.

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Platform.

26.Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Platform shall be governed by and construed in accordance with the laws of England and Wales.

Subject to any applicable mandatory consumer protection rules, the courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Platform.

28.Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

29.No Waiver

No failure or delay by Reiye in enforcing any right or provision of these Terms will be deemed a waiver of that right or provision, and no single or partial exercise of any right will preclude any further exercise of that or any other right.
